The following terms and conditions apply to all website development/design services provided by We/Bump Web Design to the Client.

  1. Acceptance

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full. 

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

By paying the initial deposit of 25% of the invoiced work, the Client will have instructed Bump Web Design to commence the work quoted.

  1. Charges

Charges for services to be provided by Bump Web Design are defined via the agreement with Matthew O’Leary via phone and email. An invoice will be provided to the client upon agreement.

Phone calls may be recorded for training purposes.

Unless agreed otherwise with the Client, all website design services require an advance payment of a minimum of 25%. The total price is due upon completion of the work, prior to upload to the server or release of materials.

A Minimum of 25% Payment for services is required immediately and is payable via credit / debit card which can be taken  via an emailed invoice. Alternatively, payment can be made via cheque or bank transfer. Cheques should be made payable to Matthew O’Leary, Heathcote, Strait Lane, Huby, Leeds, North Yorkshire, United Kingdom, LS17 0EA. Bank details will be made available on invoices.

  1. Client Review Process

Bump Web Design will provide the Client with the opportunity to review the appearance and content of the website during the design phase via a development URL. At this time changes can be requested. At the completion of the project, the website will be deemed accepted and approved unless the Client notifies Bump Web Design otherwise within fourteen (14) days of the date the website was deemed accepted.

  1. Turnaround Time

Bump Web Design will complete the Client’s website by the date specified in the agreement with your account manager, or at a date agreed with the Client upon Bump Web Design receiving the initial payment, unless a delay is specifically requested by the Client and agreed by Bump Web Design.

In return, the Client agrees to delegate a single individual as a primary contact to aid Bump Web Design with progressing the design in a satisfactory and expedient manner.

During the project, Bump Web Design will require the Client to provide website content: text, images, movies and sound files where applicable.

  1. Failure to provide required website information

In order for Bump Web Design to remain efficient, we must ensure that work we have scheduled is carried out at the scheduled time. On occasion, we may have to reject offers for other work and enquiries to ensure that your work is completed at the time arranged.

As a result, we ask that you provide all the required information as soon as possible from the commencement date of your site design. On any occasion where progress cannot be made with your website because we have not been given the required information in the agreed time frame, and we are delayed as result, we reserve the right to delay your project past the original completion date.

If you agree to provide us with the required information and subsequently fail to do so within 14 days of project commencement, or within 7 days of a request part-way through the project, we reserve the right to close the project and the balance remaining becomes immediately payable.

Text content should be delivered as a Microsoft Word, GDocs, email (or similar) document with the pages in the supplied document representing the content of the relevant pages on your website.

Using our content management system you will be able to keep your content up to date yourself, unless you wish to take out a maintenance and security package with Bump Web Design.

  1. Payment

Invoices will be provided by Bump Web Design upon agreement. Invoices are normally sent via email; however, the Client may choose to receive hard copy invoices and must request so. For Web Design Services a Minimum of 25% of the total cost is due upon agreement with your account manager. The remaining 75% is due upon completion of the website design.

A Minimum of 25% Payment for services is required immediately and is payable via credit / debit card which can be taken over the phone via the account manager or via a web link included in the invoice. Alternatively, payment can be made via cheque or bank transfer. Cheques should be made payable to Matthew O’Leary, Heathcote, Strait Lane, Huby, Leeds, North Yorkshire, United Kingdom, LS17 0EA. Bank details will be made available on invoices.

In the event of cancellation, company insolvency or where no content for the website has been forthcoming within 6 weeks of commencement of the project, all outstanding invoices will become payable immediately.

If no payment has been received 7 days after the initial invoice has been issued, accounts will be immediately suspended. After 6 weeks all files will be deleted from Bump Web Design’s servers.

  1. Additional Expenses

With all website design services, there is a £8.25 per month charge, which is collected in annual instalments of £99. This charge is for the hosting of your website, access to the CMS and support from your 1-2-1 Account Manager. Additional monthly charges apply for additional services such as but not exclusive to; Logo Design, Professional Email Signature, SEO, PPC, Social Media Setup and Management, Analytics Reports, Yearly renewal of your domain name.

  1. Web Browsers

Bump Web Design makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Internet Explorer, Google Chrome, etc.). Client agrees that Bump Web Design cannot guarantee correct functionality with all browser software across different operating systems.

Bump Web Design cannot accept responsibility for web pages which do not display acceptably in new versions of browsers released after the website have been designed and handed over to the Client. As such, Bump Web Design reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.

  1. Termination

Termination of services by the Client must be requested in a written notice within 28 days and will be effective on receipt of such notice.

If during the initial 28 days of the Website Development Cycle a client wishes to cancel, they may do so but will be invoiced an amount that Bump Web Design judges to be proportional to the amount of work completed on the commission.

Once the Client has received an annual invoice for hosting services, the client will have 28 days to pay this invoice. On the expiration of the 28 days, if payment has not been received, We reserve the right to suspend all hosting services. Once hosting services have been suspended, if the Client requests that their website files are transferred to the Client or a third party, this will incur an admin fee of £45. There will be no fee if a written request is received by Us 28 days prior to the expiration of the hosting service.

  1. Indemnity

All Bump Web Design services may be used for lawful purposes only. You agree to indemnify and hold Bump Web Design harmless from any claims resulting from your use of our service that damages you or any other party.

  1. Copyright

The Client retains the copyright to data, files and graphic logos provided by the Client, and grants Bump Web Design the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Bump Web Design permission and rights for use of the same and agrees to indemnify and hold harmless Bump Web Design from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the Client to Bump Web Design that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

  1. Design Credit

A link to Bump Web Design will appear in either small type or by a small graphic at the bottom of the Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. If a client requests that the design credit be removed, a nominal fee of £250 will be applied. The Client also agrees that the website developed for the Client may be presented in Bump Web Design’s portfolio on various digital platforms.

  1. Domain Names

Bump Web Design may purchase domain names on behalf of the Client. Payment and renewal of those domain names are not covered by the £99 annual hosting charge. If the Client wishes to terminate using Bump Web Design’s services, the cost of hosting and domain renewals will be the Client’s responsibility and a new hosting provider should be sourced by the client.

  1. Ownership

The client will have ownership of all websites designed by Bump Web Design under the Standard or Deluxe packages. Websites designed free of charge under the Starter package will remain under the ownership of Bump Web Design and cannot be transferred or exported to another hosting provider. Starter packages may upgrade at any time. Whilst the Client may own the website under the Standard or Deluxe packages, Bump Web Design will own the theme code. The theme will be disabled and removed before the site is transferred away from Bump Web Design.

  1. General

These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s signature below or payment of an advance fee constitutes an agreement to and acceptance of these Terms and Conditions. Payment online is an acceptance of our terms and conditions.

  1. Governing Law

This Agreement shall be governed by English Law.

  1. Liability

Bump Web Design hereby excludes itself, its Employees and or Agents from all and any liability from:

  • Loss or damage caused by any inaccuracy;
  • Loss or damage caused by omission;
  • Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the website;
  • Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.

The entire liability of Bump Web Design to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.

  1. Severability

In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid.

Bump Web Design reserves the right to change or modify any of the terms and conditions contained in the Terms and Conditions.
